1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you and Cosmo Labs ("Cosmo Labs", "we", "us") governing your access to and use of the Latin Dance Club website, web and mobile applications, APIs, and related services (collectively, the "Service"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, Disclaimer & Waiver, and Community Guidelines.
2. Eligibility
You must be at least 13 years old to use the Service. If you are under 18, you may only use the Service with verifiable consent from a parent or legal guardian, who agrees to be bound by these Terms on your behalf. By using the Service you represent that you meet these requirements.
3. Accounts & Security
You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access. We may require email verification, multi-factor authentication, or additional checks to protect your account and the community.
4. User-Generated Content
You retain ownership of the content you post — including videos, lessons, photos, posts, profile information, comments, and messages ("User Content"). By submitting User Content, you grant Cosmo Labs a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt, display, perform, and distribute that content for the purpose of operating, promoting, and improving the Service.
You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions for the User Content you upload, and that your User Content does not infringe any third party's intellectual property, privacy, or publicity rights.
You may not upload copyrighted material you do not own or are not authorized to distribute. Cosmo Labs may remove, restrict, or refuse User Content at its sole discretion, with or without notice, including to comply with law or our Community Guidelines.
5. Acceptable Use
You agree not to:
- Post content that is unlawful, harassing, defamatory, hateful, sexually explicit involving minors, or that incites violence.
- Impersonate any person or misrepresent your affiliation with any person or entity.
- Scrape, mirror, reverse engineer, decompile, or interfere with the Service or its underlying systems.
- Use the Service to send spam, unsolicited promotions, or chain messages.
- Infringe any third party's intellectual property, trade secret, privacy, or publicity rights.
- Bypass, disable, or circumvent any security, rate-limiting, or access-control measure.
6. Account Suspension & Termination
We may suspend, restrict, or terminate your account at any time, with or without notice, if we reasonably believe you have engaged in abuse, harassment, fraud, spam, copyright violations, unsafe conduct, or any other misuse of the Service or violation of these Terms. We reserve the right to terminate accounts at our sole discretion to protect users, instructors, and the community. You may delete your account at any time from your profile settings.
7. Instructors & Teams
Instructors, team owners, and organizers using the Service are independent users, not employees or agents of Cosmo Labs. Cosmo Labs does not employ, supervise, certify, or vet instructors and is not responsible for an instructor's or team's conduct, scheduling, cancellations, lesson quality, misconduct, disputes, injuries, or any other act or omission. Your relationship with any instructor or team is solely between you and that instructor or team.
8. Social Events
The Service surfaces social events, classes, and gatherings — some of which are user-submitted or aggregated from third-party public sources. Cosmo Labs does not organize, sponsor, endorse, or verify these events and makes no warranty as to their accuracy, safety, or quality. Times, prices, venues, and admission policies may change at any time. You attend events at your own risk and should confirm details with the organizer before attending.
9. AI Features
The Service may include AI-powered features such as recommendations, summaries, search assistance, or feedback. AI outputs are informational only, may be inaccurate, incomplete, or out of date, and should not be relied upon as professional advice. You are responsible for independently verifying any AI output before acting on it, especially regarding dance technique, health, safety, legal, or financial decisions.
10. Beta & Experimental Features
From time to time we may make experimental, preview, or beta features available. Beta features are provided as-is, may contain bugs, may change without notice, and may be modified, suspended, or removed at any time without liability to you.
11. Payments, Dues & Donations
Payments processed through the Service are handled by third-party payment processors (currently Stripe). By transacting through the Service, you also agree to the applicable processor's terms. Subscription fees, team dues, lesson fees, event tickets, and donations are non-refundable except as required by law or as set out in our Refund Policy.
Where the Service permits instructors or teams to collect dues, fees, or donations, Cosmo Labs is not a party to the underlying transaction and makes no guarantee that funds will be transferred, used, or refunded by the recipient.
12. Intellectual Property
The Service — including its software, branding, look and feel, trademarks, and original content — is owned by Cosmo Labs and protected by intellectual property laws. Except for the limited license to use the Service granted to you under these Terms, and except for your User Content, nothing in these Terms grants you any right, title, or interest in any of our intellectual property.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, COSMO LABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DANCE IS A PHYSICAL ACTIVITY AND CARRIES RISK OF INJURY — YOU PARTICIPATE AT YOUR OWN RISK. SEE OUR DISCLAIMER & LIABILITY WAIVER FOR DETAILS.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, COSMO LABS' TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COSMO LABS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). IN NO EVENT WILL COSMO LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
15. Indemnification
You agree to defend, indemnify, and hold harmless Cosmo Labs, its affiliates, officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any law or third-party right.
16. Binding Arbitration & Class Action Waiver
Please read this section carefully — it affects your legal rights.
You and Cosmo Labs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules then in effect, and not in court. The arbitration will take place in Wilmington, Delaware, or by videoconference. Judgment on the award may be entered in any court of competent jurisdiction.
Jury trial waiver. You and Cosmo Labs each waive any right to a trial by jury.
Class action waiver. You and Cosmo Labs each waive any right to participate in a class action, class-wide arbitration, private attorney general action, or any other representative proceeding. Disputes must be brought in your or our individual capacity, not as a plaintiff or class member.
Opt-out. You may opt out of this arbitration agreement by sending written notice to hello@cosmolabs.co within thirty (30) days of first accepting these Terms.
If the class-action waiver is found unenforceable, the remainder of this section will still apply.
17. Governing Law & Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. For any dispute not subject to arbitration, the exclusive venue is the state and federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction there.
18. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.
